1. Introduction

AIaudioplexus.com ("Platform," "we," "us," or "our") provides a subscription-based software-as-a-service (SaaS) platform for renting customizable broadcasting dashboards ("DansBoards") to eligible users ("Renters," "you," or "your"). As per standard SaaS practices (e.g., Salesforce ToS Section 1), the Platform is a neutral tool only. You are solely responsible for all content created, broadcast, or hosted using your DansBoard, including compliance with laws and obtaining consents from guests or callers. We do not create, endorse, or moderate your content.

2. Eligibility and Account

You must be at least 18 years old and legally competent to agree (Zoom ToS Section 11.1). By creating an account, you affirm eligibility and agree to provide accurate information. You are responsible for securing your account and all activities under it (Salesforce ToS Section 4.1).

3. Rental and Billing

3.1 Subscription Plans

Renters subscribe to tiers (Solo, Pro, Agency, Master Control) for DansBoard access. Billing is monthly per DansBoard on its anniversary date (Dropbox ToS Section 12.3). Each DansBoard can be on any tier independently. All subscriptions are billed monthly in advance.

3.2 Payment

Payment is processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring monthly basis until you cancel. You remain responsible for fees during grace periods (Zoom ToS Section 5).

You may cancel your DansBoard subscription at any time. Cancellation takes effect at the end of your current billing period. All subscription fees are non-refundable, except for technical failures preventing service use, which may be eligible for prorated refunds at our discretion.

4. Renter Responsibilities and Fair Usage

You are fully responsible for your DansBoard's use, including all broadcasts, guest/call-in interactions, and content (Anchor ToS Section 10.4). This includes:

Obtaining written or recorded consents/releases from guests/callers for recording, use, and distribution (Riverside.fm policy; Podcasting Legal Guide Section 1.2.7.3). You must maintain records of all consents obtained.

4.2 Legal Compliance

Ensuring compliance with all applicable laws, including but not limited to: no illegal content, defamation, infringement, harassment, or violation of any federal, state, or local regulations.

4.3 Fair Use and Intellectual Property

Fair use for callers/guests is limited to transformative purposes like commentary or criticism; full reproductions require permission (Creative Commons Podcasting Guide Section 1.2.9; Spreaker ToS). No unlicensed music, trademarks, or third-party IP (Broadcast Law Blog). You are responsible for obtaining all necessary licenses and permissions.

4.4 Recording Laws Compliance

You are solely responsible for complying with all applicable federal and state laws regarding recording of telephone conversations and other communications. This includes, but is not limited to, obtaining proper consent (one-party or two-party consent as required by your jurisdiction) before recording any calls or conversations. We are not responsible for your failure to comply with recording laws.

You agree not to use DansBoard to create, broadcast, or distribute:

If minors (under 18) participate in your broadcasts as callers or guests, you are solely responsible for obtaining all required parental or guardian consents, releases, and authorizations. We are not responsible for your failure to obtain such consents.

4.7 Intellectual Property Ownership

You retain ownership of all content you create using DansBoard. By using DansBoard, you grant us a limited, non-exclusive license to store, process, and transmit your content solely as necessary to provide the service. We do not claim ownership of your content.

We are not responsible for your content, guest actions, or violations—cause and effect rest with you (Salesforce ToS Section 4.1).

5. Platform Role and Disclaimers

5.1 Neutral Tool

The Platform is a rental tool only; we do not host, store, or distribute your content beyond DansBoard provisioning (Zoom ToS Section 4.3). DansBoards provide isolated environments—your data is not accessible to other Renters (aligned with data isolation in Podcasting Guide).

5.2 Third-Party Services

DansBoard integrates with third-party services including but not limited to:

We are not responsible for the availability, performance, or actions of these third-party services. Your use of these services is subject to their respective terms of service and privacy policies.

5.3 Dr. Grok Usage

Dr. Grok is an independent AI system created and maintained by xAI. We integrate it as a third-party tool with no affiliation beyond API access. xAI owns all outputs; we bear no responsibility for Dr. Grok's responses, accuracy, or effects (xAI Terms of Service, Section on Third-Party Integrations). You use it at your own risk, obtaining consents as needed.

6. Your Indemnification

You indemnify us against claims from your use, content, or guest actions (Zoom ToS Section 25; Salesforce ToS Section 25). Wrongful acts (e.g., infringement) are your liability. This includes, but is not limited to, claims arising from copyright infringement, defamation, privacy violations, or any other legal claims related to your use of DansBoard.

7. Our Rights and Changes

7.1 Monitoring and Enforcement

We reserve rights to monitor for compliance (without accessing content), suspend/terminate for violations, and make changes to the Platform with notice (e.g., email to your account) to minimize interruptions (Zoom ToS Section 4.4).

7.2 Changes to Terms

We may update terms, pricing, or services with 30 days' notice for material changes (effective next billing cycle; Dropbox ToS Section 15.1). Continued use accepts changes. We aim for highest service quality but provide "as is" (no warranties; Salesforce ToS Section 24).

8. Liability Limitations

8.1 General Limitations

No liability for indirect damages, data loss, or content issues (capped at 12 months' fees; Zoom ToS Section 26). We disclaim responsibility for third-party tools like Dr. Grok or caller interactions (Anchor ToS Section 4.2).

8.2 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, third-party service failures (Twilio, Stripe, etc.), internet outages, or government actions.

9. Termination

9.1 Termination by Us

We may terminate for breach with notice. Post-termination, data follows billing lifecycle.

9.2 Termination by You

You may cancel anytime (prorated refund if applicable per Section 3.4).

9.3 Data Export

Upon termination, you may request export of your data within 30 days. After 30 days, data will be permanently deleted in accordance with our data retention policy.

10. Copyright and DMCA Policy

We respect intellectual property rights. If you believe your copyrighted material has been infringed through use of DansBoard, please send a DMCA takedown notice to support@aiaudioplexus.com with:

We will process valid DMCA notices in accordance with applicable law. Repeat infringers may have their accounts terminated.

11. Governing Law

Governed by Minnesota law (your residence); disputes in Minnesota courts (standard for US SaaS; Salesforce ToS Section 27).
